As we know that developing the country we need political will and consensus on planning. If the implementation of a good planning has not been monitored closely then the good planning become bad planning. For Ensuring the execution and successful implementation of planning, there is need of the direction and control. Nowadays the function of directing and controlling is termed as corporate governance. It is the set of system by which the organisation are directed and controlled. It plays a balancing role of directors, CEO and the staffs. It is also a Set of relationships between a company’s management, its boards, its shareholders and other stake holder's .This ensure everybody to be accountable for the job they do. Everybody has to be guided by certain principle and conducts, so that any bad happening will be controlled and any good decision is promoted. The fundamental objective of corporate governance is to enhance transparency and transparency enhances accountability. In Nepal we can see weaker part of the governance practice, they tend to follow the rule as per their own definition, the law is also not clear, different people define meaning differently. The senior think that they are the boss so whatever they do is for good governance and whatever others do is for the bad things. So there is always problem between management and staff union, management and board of directors, staffs and stakeholders etc. so we need to learn the best practice from reputed company and have to promote the culture of self governance so that others are govern by your leadership.
